1. Acceptance of Terms

By accessing or using VaultlyVIP’s escrow service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our service.

2. Who We Are

VaultlyVIP is a cryptocurrency escrow service that facilitates secure transactions between buyers and sellers. We act as a neutral third party, holding funds until both parties fulfill their agreed obligations.

3. Eligibility

You must be at least 18 years old to use VaultlyVIP. By using our service, you confirm that you are legally permitted to engage in cryptocurrency transactions in your jurisdiction.

4. Our Role

VaultlyVIP acts solely as an escrow intermediary. We do not buy, sell, or trade cryptocurrency on our own behalf. We do not provide financial, legal, or investment advice. Our role is limited to holding funds and facilitating the release of those funds based on the agreed terms between both parties.

5. Escrow Process

All transactions are initiated through our escrow form on the website. Upon submission, a supervised group is created on WhatsApp or Telegram with both parties and a VaultlyVIP admin. Funds are released only when the agreed conditions are met and confirmed by the buyer, or when VaultlyVIP makes a resolution decision based on available evidence.

6. Fees

For transactions above $175, the escrow fee is 2% per party. If one party agrees to cover the full fee, the total is 4% of the transaction value. For transactions at or below $175, a flat fee of $7 applies regardless of which party covers it. Fees are non-refundable once the escrow process has been initiated, including in the event of cancellation.

7. Cancellation

A transaction may be cancelled only if both parties mutually agree to do so. In the event of cancellation, the escrow fee and applicable network gas fees will be deducted before funds are returned to the buyer. VaultlyVIP reserves the right to cancel any transaction that violates these Terms of Service.

8. Transaction Deadline

Each escrow transaction must include a Transaction Deadline agreed upon by both parties. If one party becomes unresponsive after this date, VaultlyVIP reserves the right to resolve the transaction based on the available evidence and the last known stage of the transaction. If both parties remain in active communication, the escrow will remain open until a resolution is reached regardless of the deadline.

9. Dispute Resolution

In the event of a dispute, VaultlyVIP will conduct a thorough review of all available evidence including the full conversation history, transaction records, and any supporting documentation provided by either party. VaultlyVIP’s decision is final and binding. We are committed to resolving all disputes fairly and impartially in line with our mission to be the most reputable cryptocurrency escrow service.

10. Prohibited Activities

You may not use VaultlyVIP for any illegal activity including but not limited to money laundering, fraud, or the purchase or sale of prohibited goods or services. Any transaction suspected of involving illegal activity will be immediately terminated and may be reported to relevant authorities.

11. Limitation of Liability

VaultlyVIP is not liable for any losses arising from circumstances beyond our control, including but not limited to blockchain network failures, cryptocurrency price fluctuations, or force majeure events. Our total liability in any dispute shall not exceed the value of the escrow fee paid for that transaction.

12. Amendments

VaultlyVIP reserves the right to update these Terms of Service at any time. Continued use of our service after any changes constitutes your acceptance of the updated terms.

Escrow Agreement

This agreement is entered into by the Buyer, Seller, and VaultlyVIP as the escrow agent.

1. Parties

This Escrow Agreement involves three parties: the Buyer, the Seller, and VaultlyVIP acting as the neutral escrow agent. All three parties are present in the designated group chat on WhatsApp or Telegram for the duration of the transaction.

2. Escrow Instructions

The terms of each escrow transaction are defined in the escrow form submitted by the initiating party, including the product or service name, final price, crypto currency and network, fee arrangement, estimated delivery date, transaction deadline, release conditions, and any special terms agreed upon by both parties.

3. Deposit of Funds

Upon confirmation of the escrow terms by both parties, the Buyer shall transfer the agreed amount in cryptocurrency to VaultlyVIP’s designated escrow wallet. Funds will not be considered secured until the transfer is confirmed on the blockchain.

4. Obligations of the Seller

Upon confirmation that funds have been received by VaultlyVIP, the Seller agrees to fulfill their obligations as defined in the escrow terms — whether that is delivering a physical product, completing a service, or transferring a digital asset — within the agreed timeframe.

5. Release of Funds

Funds will be released to the Seller once the Buyer confirms receipt and satisfaction of the delivered product or service, or once the conditions defined in the “Release Funds When” field are met. VaultlyVIP will process the release promptly upon receiving confirmation from the Buyer.

6. Delivery & Deadline

The Estimated Delivery date and Transaction Deadline are agreed upon by both parties at the time of escrow creation. If the Seller fails to deliver within the Estimated Delivery date, both parties should communicate via the group chat to reach a new agreement. If one party becomes unresponsive after the Transaction Deadline, VaultlyVIP reserves the right to resolve the transaction based on available evidence.

7. Dispute Resolution

If the Buyer and Seller cannot reach an agreement, either party may formally raise a dispute within the group chat. VaultlyVIP will review all available evidence including conversation history, delivery proof, and any documentation submitted by either party. VaultlyVIP’s resolution decision is final and binding on both parties.

8. Fees & Deductions

The escrow fee is as specified in the escrow form submitted at the time of transaction creation. In the event of cancellation, the escrow fee and network gas fees will be deducted from the refunded amount. All fees are non-refundable once the escrow process has commenced.

9. Representations & Warranties

Both the Buyer and Seller represent and warrant that they have the legal right to enter into this agreement, that the transaction does not involve any illegal goods, services, or activities, and that all information provided in the escrow form is accurate and truthful.

10. Confidentiality

VaultlyVIP will not share the details of any transaction with third parties except where required by law or where necessary to resolve a dispute.

11. Governing Principles

This Agreement is governed by principles of international commercial practice and good faith. Both parties agree to engage honestly and cooperatively throughout the escrow process.

12. Entire Agreement

This Escrow Agreement, together with the VaultlyVIP Terms of Service and the details submitted in the escrow form, constitutes the entire agreement between the parties with respect to the subject matter herein.
